(“Opticon”) to you, the company you may represent and/or your Affiliates via Opticon’s website or otherwise. When you access, read or process this information provided to you by Opticon, you explicitly accept the contents of the disclaimer in full. Summarised: (i) you agree and are aware that all intellectual property rights included in the documentation are exclusively owned by Opticon and you will not infringe those rights in any way; (ii) you will keep all documentation provided strictly confidential, will not disclose this to any third party and will only use this for the purpose it is strictly intended for; and (iii) you are aware that for any breach of the above conditions you will be obliged to pay a penalty fee of € 25,000 and in addition any damages caused to Opticon and/or its affiliates. The disclaimer and any document provided to you is exclusively governed by and will be construed in accordance with the laws of the Netherlands. Any disputes arising out of or related to this disclaimer will be submitted to the exclusive jurisdiction of the court of Amsterdam, the Netherlands, without prejudice to Opticon’s right to bring an action before a court in the country in which you have residence or your registered offices.
